These Terms of Service ("Terms") govern your access to and use of the APIs, data products, and web tools ("Services") provided by Wimberly Solutions LLC ("Wimberly Solutions," "we," "us," or "our"), an Ohio limited liability company. By accessing or using our Services, you agree to these Terms. If you do not agree, do not use our Services.
1. Services
Wimberly Solutions provides programmatic access to compliance screening data, government data APIs, and related web tools. Our Services include but are not limited to:
- Sanctions and watchlist screening APIs (OFAC SDN, UN Consolidated, UK OFSI, EU Financial Sanctions, and others)
- Government data clearinghouse APIs (PHMSA enforcement, TCEQ compliance, municipal compliance, hospital price transparency, and others)
- Business and entity lookup tools
- Consumer-facing screening tools at wimberly.solutions
Services are provided through RapidAPI marketplace subscriptions and direct API access arrangements.
2. Eligibility and Account Registration
You must be at least 18 years old and capable of entering a binding contract to use our Services. By using our Services, you represent that you meet these requirements.
If you access our Services through RapidAPI, your account registration and billing are governed by RapidAPI's terms in addition to these Terms.
3. Acceptable Use
You may use our Services to:
- Conduct due diligence on individuals, entities, or organizations for legitimate business purposes
- Screen vendors, contractors, customers, or counterparties against official sanctions and regulatory databases
- Research publicly available government data for informational purposes
- Integrate screening and data lookup functionality into your own applications and workflows
You may not use our Services to:
- Violate any applicable federal, state, local, or international law or regulation
- Harass, stalk, threaten, or harm any individual
- Circumvent, disable, or interfere with the security features of our Services
- Attempt to gain unauthorized access to any portion of our Services or infrastructure
- Use our Services as the sole basis for any decision that requires regulatory compliance — you must independently verify results
- Resell, sublicense, or redistribute raw data obtained through our Services without written permission
- Use our Services for any purpose regulated by the Fair Credit Reporting Act (FCRA) — see Section 6 below
4. Data Sources and Accuracy
Our Services aggregate and normalize data from official government sources including but not limited to:
- U.S. Department of the Treasury (OFAC)
- United Nations Security Council
- UK Office of Financial Sanctions Implementation (OFSI)
- European Union Financial Sanctions portal
- U.S. Consolidated Screening List (CSL)
- Texas Commission on Environmental Quality (TCEQ)
- Pipeline and Hazardous Materials Safety Administration (PHMSA)
- U.S. Centers for Medicare and Medicaid Services (CMS)
- Various state and municipal government portals
We make no warranty, express or implied, regarding the completeness, accuracy, timeliness, or fitness for a particular purpose of any data returned by our Services. Data may be delayed, incomplete, or contain errors introduced during processing. Always verify results directly with the relevant issuing authority before relying on them for regulatory, legal, or financial decisions.
Data refresh frequencies vary by source. Check the /lists/{entity}/status endpoint for current data timestamps.
5. Prohibited Industries and Use Cases
Our Services are not designed for and must not be used in the following contexts without prior written approval from Wimberly Solutions:
- Law enforcement investigations
- Government intelligence activities
- Debt collection
- Insurance underwriting decisions
- Any context where an adverse action against an individual may result based solely on our data
6. FCRA Disclaimer — Important
Our Services are NOT consumer reporting agencies as defined by the Fair Credit Reporting Act (FCRA), 15 U.S.C. § 1681 et seq.
The data provided through our Services may not be used, in whole or in part, as a factor in:
- Establishing a consumer's eligibility for credit, insurance, or employment
- Tenant screening or housing decisions
- Any other purpose that would constitute a "consumer report" under FCRA
If you require FCRA-compliant background screening, you must use a certified consumer reporting agency. By using our Services, you represent and warrant that you will not use our data for any FCRA-regulated purpose.
7. Subscription and Payment
Subscription fees are billed through RapidAPI or directly by Wimberly Solutions as applicable. All fees are non-refundable except as required by applicable law or as explicitly stated in your subscription plan.
We reserve the right to modify pricing with reasonable advance notice. Continued use of our Services after a price change constitutes acceptance of the new pricing.
8. Rate Limits and Fair Use
All API plans include rate limits as specified in your subscription tier. Excessive requests that materially exceed your plan limits or that negatively impact service quality for other users may result in temporary or permanent suspension without refund.
9. Service Availability
We strive for high availability but do not guarantee uninterrupted access. Planned maintenance, infrastructure issues, or events beyond our control may cause service interruptions. We are not liable for damages resulting from service unavailability.
10. Intellectual Property
All software, systems, documentation, and original content comprising our Services are the property of Wimberly Solutions LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose.
Government-sourced data accessed through our Services is in the public domain. Our processing, normalization, and delivery infrastructure is proprietary.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIMBERLY SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICES
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR INFRASTRUCTURE
- ANY ERRORS OR OMISSIONS IN DATA RETURNED BY THE SERVICES
- ANY DECISION MADE IN RELIANCE ON DATA RETURNED BY THE SERVICES
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO WIMBERLY SOLUTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Wimberly Solutions LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services or violation of these Terms.
13. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services ceases immediately.
14. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Hamilton County, Ohio.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
